Rolux UK Terms of Sale

By placing the order with Rolux UK, you are agreeing to the below conditions of sale / terms.

  1. On placement of order a deposit is payable to the Company in case of breach of contract by the Purchaser/s. This deposit will vary dependant on product and application. The Company’s right to damages will not be limited to the money paid by the purchaser/s but to the total loss suffered by the company resulting from the breach whichever is greater. The purchasers shall agree to pay the balance of the purchase price also any other agreed variants upon completion of installation. Legal title to the products shall not pass to the purchaser until the company has received in full the contracted value of the product/s. In case of non-payment, we reserve the rights to repossess the goods.
  2. Orders are manufactured individually, and unused materials cannot be credited or reprocessed by the company.
  3. The customer will have the benefit of continuous development in any changes to design up until time of manufacture. Alterations after manufacture will constitute a separate contract.
  4. The quality of our merchandise is available for inspection at our showroom. As we continually improve and develop our products, minor details may change between items in the showroom and those currently    being used. This also applies to any samples shown on survey. The company will make every effort to minimise these variations. If there are any point of specific detail required these must be noted on the          survey contract. All selections made on the survey contract detail what work will be carried out by Rolux UK and detail of product provided. Signature of the survey from You the customer, confirms this and no      alterations can be made subject to Clause 3.
  5. The company will always endeavour to complete the contract within the time specified. Installation lead times are quoted as a guide only.
  6. The company reserves the right to request payment if the customer asks for the delay in fitting after manufacture. The amount payable will be the outstanding balance less 10%. The remaining 10% will be          payable upon installation.
  7. All prices quoted are inclusive of VAT unless otherwise stated. The rate of VAT applied is that prevailing at the time of invoicing.
  8. The contract is binding on both parties and may not be cancelled. Items are individually tailor-made and cannot be transferred to a third party. Cancelled orders are subject to a fee to cover administration and previous appointments.
  9. If, upon surveying the premises, or at any time at or after commencement of the works, it becomes apparent that to complete the works would take substantially more time and/or expense and/or would result in the works costing the Company considerably more than the price agreed with the purchaser, (for example as a result of discovery of defects or difference in the fabric or frame of the building) then the Company reserves the right to terminate the contract forthwith on written notice to the purchaser.
  10. Electric connections will be carried out at the time of installation. This may require the mains supply being stopped to ensure the safety of our operatives. The Company accepts no liability for any damage resulting to other electrical goods or related equipment. The provision of a suitable and safe electric supply is the sole responsibility of the customer.
  11. Rolux UK’s entire liability is limited, under any circumstances, to the repair, replacement, or refund of the net amount invoiced, in the case of the Goods, and to the re-performance, in the case of Services. 11.1 In the sale of Goods, We warrant that: 11.1.1 Rolux UK has legal title to sell the Goods; 11.1.2 Goods will be substantially free from defects in materials and workmanship; and 11.1.3 Goods will comply with their specification. 11.2 In the provision of Services, We warrant that they will be performed with reasonable skill and care. 11.3 Rolux UK’s liability under the Contract is excluded: 11.3.1 for defect in the Goods or failure in the provision of the Services apparent upon Reasonable Inspection in accordance with Condition 12 unless such fault is communicated to Us in accordance with this. 11.3.2 unless after discovery of the defect We are given a reasonable opportunity to inspect the Goods or to review the Services before they are used fixed or in any way interfered with; 11.3.3 for wear and tear; 11.3.4 if the defect arises from Your or a third party’s negligence, misuse, alteration or repair of the Goods or the Supplies or the Services, failure to follow British Standard or industry or Our instruction relevant to the Goods or the Supplies or the Services, storage of the Goods or the Supplies in unsuitable conditions or use of the Goods or the Supplies or the Services in abnormal working conditions. 11.4 If the Goods are not manufactured by Us or have been processed by a third party whether or not at Our or Your request Our liability in respect of any defect in or arising from the Goods will be limited to such rights against the manufacturer or the third party as We may have in respect of those Goods. 11.5 If the Goods are supplied manufactured or processed or the Services are performed to a drawing, design, measurement, calculation or specification of Yours or as approved by You or any third person nominating or specifying the Goods or otherwise then: 11.5.1 We shall not be liable for any defect in such Goods or the performance of Services except in the event of: a) misrepresentation where the representation was made or confirmed in writing by Us; b) non-compliance with such drawing, design, measurement, calculation or specification; or c) breach of a separate written warranty signed by Us that the Goods or the Supplies are fit for a particular purpose. 11.5.2 You will unconditionally fully and effectively indemnify Us against all losses, damages, costs on an indemnity basis and expenses awarded against or incurred by Us in connection with or paid or agreed to be paid by Us in settlement of any claim for infringement of any intellectual property rights of any other person. 11.6 Except as expressly provided in these Terms all warranties, conditions of other terms implied by statute or common law are excluded to the fullest extent permitted by law. 11.7 Where You resell the Goods or the Supplies to a third party and the third party brings any claim against Us, You will provide all reasonable assistance to Us at Your cost to enable Us to defend the claim and You will not make any admission, negotiate or settle any claim without Our prior written consent thereto.
  12. All goods are to be inspected upon completion of installation and any snagging points / issues you may have must be raised to Rolux UK within the following 24 hours.
  13. Rolux UK Limited Warranty. The original purchaser is granted a warranty period covering the safe operation on the product (as per spec ordered, see Quotation for further information) from the date of purchase. The warranty does not cover cosmetic damage caused by normal wear and tear. The remedial work due to accidental damage or customer neglect will be chargeable.

The warranty does not cover:

 

  •          Damage through –
  1. Neglect care and maintenance.
  2. Improper initial and subsequent operation.
  3. Negligent or wanton destruction.
  4. External influences such as fire, water, acids and any abnormal environment influences.
  5. Repair by non-qualified or unauthorised persons.
  • Batteries and bulbs.
  • Any sensitivity adjustments or limit adjustments due to floor alterations.
  • Any loose brickwork, masonry, rendered or other surfaces cracking or collapsing during installation
  • Any operation or use of the goods after any other defect or damage has become apparent.
  • Any goods being installed within a two-mile radius of the sea or other body of water of equivalent or greater salt concentration or in an area subject to industrial fall out
  • Any fault or surge in the customer’s electricity supply
  • Where the door is affixed to a wooden frame, any damage caused by your failure to periodically to coat the wood with a protective sealant
  • Damage due to accident, storm, flood or other adverse weather conditions or unusual physical or electrical stress
  • Any modifications, adjustments or repairs to the product that have not been carried out by Us unless agreed by Us in writing
  • Any marks, distortion, stains, blemishes, indentations or scuffs which are not observable from a distance of at least three metres away in natural light (not direct sunlight).

 

The terms of the Warranty are subject to conformance of servicing requirements. These vary subject to product and application.

 

Products that are installed for commercial use carry a warranty of one year unless specified otherwise within the terms of the contract.

 

These Conditions of Sale do not affect your statutory rights.
